This Vendor Agreement (the “Agreement”) is\u00a0<\/span>entered into<\/span>\u00a0between HELLO VYA, LLC, a Florida limited liability company (“VYA”), and the vendor\u00a0<\/span>identified<\/span>\u00a0in the signature block below (“Vendor”). By signing this Agreement, Vendor agrees to the following terms as a condition of listing on the VYA platform.<\/span><\/span>\u00a0<\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

\n\t\t\t\t\t

1. Platform Overview <\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

VYA\u00a0<\/span>operates<\/span>\u00a0a curated community vendor directory delivered as an amenity to residential HOA, COA, and apartment communities across Central Florida. Vendors listed on the VYA platform are presented to residents as neighbor-recommended, board-endorsed local service professionals. Listing on VYA does not create an employment relationship, partnership, or agency between VYA and Vendor. For Section 1 (Home & Property) vendors, VYA conducts the\u00a0<\/span>initial<\/span>\u00a0credential review (typically 3 business days), after which the community manager or HOA board president approves or denies the vendor for each specific community.<\/span><\/span>\u00a0<\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

\n\t\t\t\t\t

2. Vendor Tiers <\/h2>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

VYA offers three listing tiers. Tier placement is\u00a0<\/span>determined<\/span>\u00a0at VYA’s discretion based on credentialing status and fee paid.<\/span><\/span>\u00a0<\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

  • \n\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t<\/path><\/svg>\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\tVerified \/ Featured (Section 1) -- Premium placement for home and property service vendors. Annual fee: $399\/yr for first community territory; +$199\/yr per additional community. Includes profile visibility, resident-only offer field, and the VYA Verified badge. <\/span>\n\t\t\t\t\t\t\t\t\t<\/li>\n\t\t\t\t\t\t\t\t
  • \n\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t<\/path><\/svg>\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\tSection 2 Professional -- For licensed professionals including attorneys, physicians, financial advisors, and insurance agents. Annual fee: $499\u2013$699\/yr (flat annual listing; see Professional Services Addendum for tier by profession). <\/span>\n\t\t\t\t\t\t\t\t\t<\/li>\n\t\t\t\t\t\t\t\t
  • \n\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t<\/path><\/svg>\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\tVYA Elite -- Invite-only. For luxury service vendors. Annual fee: $999\u2013$1,499\/yr (invite-only; subject to VYA Elite Vendor terms). <\/span>\n\t\t\t\t\t\t\t\t\t<\/li>\n\t\t\t\t\t\t<\/ul>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t

    3. Credentialing Requirements <\/h2>\t\t\t\t<\/div>\n\t\t\t\t
    \n\t\t\t\t\t\t\t\t\t

    All vendors must\u00a0<\/span>maintain<\/span>\u00a0the following in good standing to remain active on the platform. VYA reserves the right to suspend or remove any vendor who\u00a0<\/span>fails to<\/span>\u00a0meet these requirements.<\/span><\/span>\u00a0<\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

    \n\t\t\t\t\t\t\t
      \n\t\t\t\t\t\t\t
    • \n\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t<\/path><\/svg>\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\tEntity registration validated via Sunbiz. Certificate of Insurance on file.<\/span>\n\t\t\t\t\t\t\t\t\t<\/li>\n\t\t\t\t\t\t\t\t
    • \n\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t<\/path><\/svg>\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\tCurrent Certificate of Insurance (COI) -- general liability, minimum $1,000,000 per occurrence. Vendor must notify VYA immediately upon policy cancellation or lapse.<\/span>\n\t\t\t\t\t\t\t\t\t<\/li>\n\t\t\t\t\t\t\t\t
    • \n\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t<\/path><\/svg>\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\tActive state or trade license where required by Florida law (verified at myfloridalicense.com. Entity validation via Sunbiz (sunbiz.org) for all vendor types). <\/span>\n\t\t\t\t\t\t\t\t\t<\/li>\n\t\t\t\t\t\t\t\t
    • \n\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t<\/path><\/svg>\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\tSigned copy of this Agreement on file. <\/span>\n\t\t\t\t\t\t\t\t\t<\/li>\n\t\t\t\t\t\t\t\t
    • \n\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t<\/path><\/svg>\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\tIdentity and criminal background check completed and cleared. Minimum 4.0-star average across public review platforms. VYA reserves the right to delist vendors with unresolved complaints or material negative reviews. <\/span>\n\t\t\t\t\t\t\t\t\t<\/li>\n\t\t\t\t\t\t<\/ul>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t

      Vendors credentialed through VIVE or BCS may\u00a0<\/span>submit<\/span>\u00a0existing verification documentation in lieu of standard credentialing, subject to VYA review.<\/span><\/span>\u00a0<\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

      4. Profile Standards <\/h2>\t\t\t\t<\/div>\n\t\t\t\t
      \n\t\t\t\t\t\t\t\t\t

      Vendor agrees to\u00a0<\/span>maintain<\/span>\u00a0a profile meeting VYA’s published standards, including:<\/span><\/span>\u00a0<\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

      \n\t\t\t\t\t\t\t
        \n\t\t\t\t\t\t\t
      • \n\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t<\/path><\/svg>\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\tAccurate business name, logo, and contact information. <\/span>\n\t\t\t\t\t\t\t\t\t<\/li>\n\t\t\t\t\t\t\t\t
      • \n\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t<\/path><\/svg>\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\tThree to five real job photographs (no stock photos). <\/span>\n\t\t\t\t\t\t\t\t\t<\/li>\n\t\t\t\t\t\t\t\t
      • \n\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t<\/path><\/svg>\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\tA brief, benefit-led business description and one-line tagline. <\/span>\n\t\t\t\t\t\t\t\t\t<\/li>\n\t\t\t\t\t\t\t\t
      • \n\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t<\/path><\/svg>\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\tActive resident-only offer exclusive to VYA members. <\/span>\n\t\t\t\t\t\t\t\t\t<\/li>\n\t\t\t\t\t\t\t\t
      • \n\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t<\/path><\/svg>\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\tCurrent service area, hours, and pricing range. <\/span>\n\t\t\t\t\t\t\t\t\t<\/li>\n\t\t\t\t\t\t<\/ul>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t
        \n\t\t\t\t\t

        5. Code of Conduct <\/h2>\t\t\t\t<\/div>\n\t\t\t\t
        \n\t\t\t\t\t\t\t\t\t

        Vendor agrees to:<\/span><\/span>\u00a0<\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

        \n\t\t\t\t\t\t\t
          \n\t\t\t\t\t\t\t
        • \n\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t<\/path><\/svg>\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\tTreat all VYA residents and community contacts with professionalism and courtesy. <\/span>\n\t\t\t\t\t\t\t\t\t<\/li>\n\t\t\t\t\t\t\t\t
        • \n\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t<\/path><\/svg>\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\tHonor all resident-only offers displayed on the VYA platform. <\/span>\n\t\t\t\t\t\t\t\t\t<\/li>\n\t\t\t\t\t\t\t\t
        • \n\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t<\/path><\/svg>\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\tRespond to resident inquiries from the VYA platform within two (2) business days. <\/span>\n\t\t\t\t\t\t\t\t\t<\/li>\n\t\t\t\t\t\t\t\t
        • \n\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t<\/path><\/svg>\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\tMaintain all required licenses and insurance throughout the term of this Agreement. <\/span>\n\t\t\t\t\t\t\t\t\t<\/li>\n\t\t\t\t\t\t\t\t
        • \n\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t<\/path><\/svg>\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\tNot solicit VYA platform users for services outside the Vendor's listed categories without prior written consent from VYA. <\/span>\n\t\t\t\t\t\t\t\t\t<\/li>\n\t\t\t\t\t\t\t\t
        • \n\t\t\t\t\t\t\t\t\t\t\t\n\t\t\t\t\t\t\t<\/path><\/svg>\t\t\t\t\t\t<\/span>\n\t\t\t\t\t\t\t\t\t\tPromptly notify VYA of any license suspension, insurance lapse, regulatory action, or material complaint. <\/span>\n\t\t\t\t\t\t\t\t\t<\/li>\n\t\t\t\t\t\t<\/ul>\n\t\t\t\t\t\t<\/div>\n\t\t\t\t
          \n\t\t\t\t\t

          6. Fees and Payment <\/h2>\t\t\t\t<\/div>\n\t\t\t\t
          \n\t\t\t\t\t\t\t\t\t

          Annual listing fees are due upon execution of this Agreement and on each anniversary date. Fees are non-refundable except as described in Section 8. Payment is processed via Stripe. VYA does not charge per-lead or commission fees.\u00a0<\/span>Vendor keeps<\/span>\u00a0100% of every job booked through the platform.<\/span><\/span>\u00a0<\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

          \n\t\t\t\t\t

          7. Liability and Indemnification <\/h2>\t\t\t\t<\/div>\n\t\t\t\t
          \n\t\t\t\t\t\t\t\t\t

          VYA is a marketplace platform and is not a party to any transaction between Vendor and a resident. VYA makes no representations\u00a0<\/span>regarding<\/span>\u00a0the volume of leads, inquiries, or bookings a Vendor will receive.<\/span><\/span>\u00a0<\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

          \n\t\t\t\t\t\t\t\t\t

          Vendor agrees to indemnify, defend, and hold harmless HELLO VYA, LLC, its officers, members, employees, and agents from and against any claims, damages, losses, or expenses (including reasonable attorney fees) arising out of or related to: (a) Vendor’s services to any resident or\u00a0<\/span>community; (b) Vendor’s breach of this Agreement; (c) any act or omission of Vendor’s employees or subcontractors; or (d) any third-party claim relating to Vendor’s work.<\/span><\/span>\u00a0<\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

          \n\t\t\t\t\t\t\t\t\t

          VYA’s total liability to Vendor shall not exceed the annual listing fee paid by Vendor in the twelve (12) months preceding the claim.<\/span><\/span>\u00a0<\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

          \n\t\t\t\t\t

          8. Term and Termination <\/h2>\t\t\t\t<\/div>\n\t\t\t\t
          \n\t\t\t\t\t\t\t\t\t

          This Agreement begins on the Effective Date and continues for one (1) year, renewing automatically unless either party provides thirty (30) days’ written notice of non-renewal.<\/span><\/span>\u00a0<\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

          \n\t\t\t\t\t\t\t\t\t

          VYA may\u00a0<\/span>terminate<\/span>\u00a0<\/span>immediately<\/span>\u00a0upon written notice if Vendor: (a)\u00a0<\/span>fails to<\/span>\u00a0<\/span>maintain<\/span>\u00a0credentialing requirements; (b) receives a substantiated material resident complaint; (c) violates the Code of Conduct; or (d) engages in fraudulent, deceptive, or illegal conduct.<\/span><\/span>\u00a0<\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

          \n\t\t\t\t\t\t\t\t\t

          Vendor may\u00a0<\/span>terminate<\/span>\u00a0upon thirty (30) days’ written notice. Annual fees are non-refundable upon early termination by Vendor.<\/span><\/span>\u00a0<\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

          \n\t\t\t\t\t

          9. Confidentiality <\/h2>\t\t\t\t<\/div>\n\t\t\t\t
          \n\t\t\t\t\t\t\t\t\t

          Vendor acknowledges that resident contact information, community data, and VYA platform analytics are proprietary and confidential. Vendor agrees not to use or\u00a0<\/span>disclose<\/span>\u00a0such information for any purpose outside of fulfilling services to VYA residents through the platform.<\/span><\/span>\u00a0<\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

          \n\t\t\t\t\t

          10. Governing Law <\/h2>\t\t\t\t<\/div>\n\t\t\t\t
          \n\t\t\t\t\t\t\t\t\t

          This Agreement is governed by the laws of the State of Florida. Disputes shall be resolved in Orange County, Florida.<\/span><\/span>\u00a0<\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

          \n\t\t\t\t\t

          11. Entire Agreement <\/h2>\t\t\t\t<\/div>\n\t\t\t\t
          \n\t\t\t\t\t\t\t\t\t

          This Agreement, together with any applicable tier addendum, constitutes the entire agreement between the parties and supersedes all prior discussions. Amendments must\u00a0<\/span>be in writing<\/span>\u00a0and signed by both parties.<\/span><\/span>\u00a0<\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t
